1. Introduction

Welcome to Place Plate. These Terms of Service ("Terms") govern your access to and use of our digital products and services, including PowerPoint templates and custom presentation design services. By accessing or using our services, you agree to be bound by these Terms.

Place Plate is a digital product and service business based in Indonesia, serving both Indonesian and international customers.

2. Definitions

• "Templates" refers to PowerPoint presentation templates available for digital download.
• "Custom Services" refers to custom presentation design services provided by Place Plate.
• "User," "you," or "Customer" refers to the individual or entity using our products or services.
• "We," "us," or "Place Plate" refers to Place Plate and its authorized representatives.

3. Template License and Usage Rights

3.1 License Grant

When you purchase a Template from Place Plate, you are granted a non-exclusive, non-transferable license to use the Template. Templates are licensed, not sold. You do not acquire ownership of the Template, only the right to use it under the terms specified herein.

3.2 Permitted Uses

You may:

• Use Templates for personal or commercial projects
• Modify and customize Templates for your specific needs
• Use Templates in client work and presentations
• Create presentations for commercial purposes using the Templates

3.3 Prohibited Uses

You may NOT:

• Resell, redistribute, or share Templates in their original or modified form
• Upload Templates to any marketplace, website, or template-sharing platform
• Provide Templates as part of a template resale business or subscription service
• Distribute the source files (PPTX format) to third parties
• Claim authorship or ownership of the Templates
• Use Templates for any unlawful or prohibited purpose

4. Custom Design Services

4.1 Service Delivery

Custom design services will be delivered via email or other agreed-upon platforms within the timeline specified in your service agreement. Delivery timelines are estimates and may vary based on project complexity.

4.2 Revision Policy

Each custom design project includes up to three (3) revision rounds. Additional revisions beyond this limit may require extra payment, which will be communicated to you in advance.

4.3 Project Cancellation

If you cancel a custom design project after payment has been processed, refunds will not be provided in full. Transaction fees and processing fees are non-refundable. Any refund amount will be calculated based on the work completed and fees incurred.

4.4 Portfolio Rights

Place Plate retains the right to showcase completed custom design work in our portfolio, website, and marketing materials unless otherwise agreed upon in writing before project commencement.

5. Payment and Billing

5.1 Payment Methods

We accept the following payment methods:

• Bank transfer
• PayPal

5.2 Transaction Fees

All prices are displayed in the currency specified on our platform. You are responsible for any applicable taxes, transaction fees, or currency conversion charges imposed by your payment provider.

5.3 Payment Processing

Payment must be completed before accessing digital downloads or commencing custom services. For Templates, access will be granted immediately upon successful payment. For Custom Services, work will begin upon receipt of payment or as otherwise agreed.

6. Delivery

6.1 Template Delivery

Templates are delivered via instant digital download. You will receive a download link immediately after payment confirmation. Download links are valid for a limited time and may expire.

6.2 Custom Service Delivery

Custom design projects will be delivered manually via email or an agreed-upon platform. Delivery timelines will be communicated at the time of purchase.

7. Intellectual Property Rights

7.1 Ownership

All Templates, designs, graphics, logos, and content provided by Place Plate are the intellectual property of Place Plate or its licensors. Your purchase grants you a license to use the materials as specified in these Terms, but does not transfer ownership.

7.2 Copyright Protection

All materials are protected by copyright laws. Unauthorized use, reproduction, or distribution of our materials may result in civil and criminal penalties, including account suspension and legal action.

7.3 Enforcement

We actively monitor for unauthorized distribution of our Templates. If we discover that you have violated the license terms, we reserve the right to:

• Immediately suspend or terminate your account
• Revoke your license to use our Templates
• Pursue legal action and seek damages

8. Warranties and Disclaimers

OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PLACE PLATE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We make no guarantees regarding the accuracy, reliability, or completeness of any content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLACE PLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use our services or products
• Any unauthorized access to or use of our servers
• Any interruption or cessation of transmission
• Any bugs, viruses, or similar that may be transmitted through our services
• Any errors or omissions in any content

IN NO EVENT SHALL PLACE PLATE'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO PLACE PLATE IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of Place Plate or others
• Attempt to reverse engineer, decompile, or disassemble our products
• Use our services to transmit harmful code or malware
• Engage in any fraudulent or deceptive practices

11. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion.

Upon termination, your license to use our Templates and services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Indonesia.

13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiation.

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through the courts of Indonesia as specified in the Governing Law section.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this document. Your continued use of our services after any changes constitutes acceptance of the new Terms.
